Terms of Service

1. These Terms of Service constitute a legally binding agreement between you and Crestpoint Tractor Services governing your use of our website and consulting services. By accessing or using any part of our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.
2. Our consulting services include equipment operations analysis, workflow optimization, scheduling advice, and efficiency recommendations, all delivered remotely. The specific scope of work will be outlined in a separate proposal or agreement provided to you prior to engagement.
3. You represent and warrant that you are at least 18 years old and have the legal authority to enter into this agreement. If you are using our services on behalf of an organization, you confirm that you have the necessary authority to bind that organization.
4. All services are provided virtually through online meetings, reports, and electronic communications. We are not responsible for on-site implementation unless we have expressly agreed in writing to provide such services.
5. Fees for services will be detailed in the applicable proposal, contract, or invoice. Unless otherwise agreed, payment terms are net 15 days from the invoice date. Late payments may incur interest or suspension of services.
6. You agree to provide accurate, complete, and timely information necessary for us to perform the services. Delays or additional costs caused by inaccurate or incomplete information may result in adjustments to fees or project timelines.
7. All intellectual property rights in the deliverables we provide—including reports, frameworks, methodologies, and recommendations—remain our property until full payment is received. After payment, you receive a non-exclusive, non-transferable license to use them for internal business purposes.
8. You may not resell, distribute, sublicense, or publicly display any deliverables without our prior written consent. Unauthorized use may result in legal action and termination of this agreement.
9. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We will not be liable to you or any third party for any such modification or discontinuation.
10. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding our services, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Services are provided “as is” and “as available.”
11. We do not guarantee that our services will be error-free, uninterrupted, or secure. We may need to suspend services temporarily for maintenance, upgrades, or technical issues, and we will attempt to notify you in advance when possible.
12. In no event shall Crestpoint Tractor Services be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, even if advised of their possibility.
13. Our total liability for any claim arising under these Terms is limited to the amount you paid us for the specific service giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.
14. You agree to indemnify, defend, and hold us harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your misuse of our services, violation of these Terms, or infringement of any third-party rights.
15. You are responsible for maintaining the confidentiality of any account credentials or access information we provide. You are solely responsible for all activities that occur under your account, and you agree to notify us immediately of any unauthorized use.
16. These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Arapahoe County, Colorado. You consent to the personal jurisdiction of those courts.
18. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to reflect the parties' intent as closely as possible.
19. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision, unless acknowledged in writing by us. No waiver shall be deemed a further or continuing waiver.
20. These Terms, together with any proposals, invoices, or separate agreements, constitute the entire agreement between you and us regarding your use of our services and supersede all prior understandings.
21. We may revise these Terms from time to time by posting the updated version on our website. Your continued use of our services after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review them periodically.
